ArtsLink NB Constitution
Interdisciplinary Arts Association of New Brunswick, Inc. CONSTITUTION
Article I - Name of Organization The association shall be known as Interdisciplinary Arts Association of New Brunswick Inc. (hereafter referred to as ArtsLink NB).
Article II – Place of Business
The head office of ArtsLink NB shall be at the City of Saint John, New Brunswick or such other place within the Province of New Brunswick as the Letters Patent of ArtsLink NB allow and ArtsLink NB may by by-law designate.
Article III – Mission The mission of ArtsLink NB is to advance the arts in New Brunswick by linking and unifying artists and arts organizations and promoting their value to the community.
Article IV – Objectives
Subject always to the Letters Patent, ArtsLink NB has the following objectives:
To advocate for issues relating to artists and the arts community;
To promote arts education;
To create a community culture, milieu and environment that acknowledges the arts profession with value and respect;
To foster public awareness of the arts in communities and throughout New Brunswick to promote the value of arts in society;
To provide guidance, resources and assistance for artists and their organizations;
To establish a network that connects individual artists and arts organizations to their communities, regions and province; and
To facilitate growth and prosperity - socially, economically, artistically and culturally.
Article V – Membership Subject to the Letters Patent and ArtsLink NB’s by-laws, members of ArtsLink NB may comprise individuals and organizations interested in, or engaged in, activities concerned with the arts in New Brunswick. Members will elect a Board of Directors annually to represent their interests who will, in turn, determine the strategic direction of ArtsLink NB.
Article VI – Governance ArtsLink NB is governed by a Board of Directors, comprised of no more than 15 and no less than 12 members. Four of the Board members serve as the executive committee; The executive committee consists of the President, Vice-President, Treasurer and Secretary. The composition of the Board will, as much as possible, reflect the diversity of the arts community, with representation from identified arts disciplines (Performing Arts, Visual Arts, Film, Literature, Craft, Multidisciplinary, and Applied Arts), 6 regional areas (Northwest, Northeast, Southwest, Southeast, Central West and Central East) and community demographics (gender, age and culture). The Board may, by resolution, establish standing and/or ad hoc committees to assist in the carrying out of its duties. Terms of Reference outlining committee membership, mandate and procedures are required for all committees. The Board’s job is to govern the affairs of ArtsLink NB within relevant legislation, its Letters Patent, by-laws and other applicable standards. The Board of Directors is given the legal corporate authority and responsibility for the achievement of ArtsLink NB’s mission and objectives and for its financial stability and sustainability through guidance and direction of the members and ArtsLink NB’ staff. The Board is accountable to the members and provides an Annual Report at the Annual General Meeting. Article VII – Financial When authorized by the by-laws, the Directors of ArtsLink NB may occasionally: Solicit, receive and hold contributions of money and property to fulfill the objectives of ArtsLink NB; and Do all things and exercise all powers (including ancillary powers) mentioned and set forth in the Letters patent and the Companies Act (New Brunswick). Article VIII - By-Laws
The by-laws of ArtsLink NB are attached to the Constitution and serve as governing practices and procedures unless repealed or amended by the members.
Article IX – Operations
ArtsLink NB will carry out operations without pecuniary gain to its members. Any profits to ArtsLink NB will be used in the promotion of its objectives.
Article X – Dissolution
In the event of dissolution or the winding up of ArtsLink NB, all remaining assets after payments of its liabilities shall be distributed to one or more of the recognized Canadian charitable organizations with like objectives.
